Terms of Sale

This document contains the terms and conditions that govern your purchase of Pattern Trader Tools's products. Please read it carefully as it contains important information about your rights and obligations, and the limitations and exclusions that may be applicable to you.

1. Agreement. These terms and conditions ("Agreement") shall apply to your purchase of all products sold worldwide ("Product") by Pattern Trader Tools. By accepting delivery of the Product, you accept and are bound to the terms and conditions of this Agreement. This Agreement may NOT be altered, supplemented, or amended by the use of any other document(s) unless otherwise agreed to in a written agreement signed by both you and Pattern Trader Tools.

2. Price. Prices are in USD and are exclusive of all taxes. Prices are subject to change without notice.

3. Orders. All orders are subject to availability and acceptance by Pattern Trader Tools. Unless otherwise specified by Pattern Trader Tools, Product ordered will be delivered between 1 and 6 weeks, depending on actual destination, from date of receipt of payment in full.

4. Payment Terms. Payment terms are within Pattern Trader Tools's sole discretion, and, unless otherwise agreed to by Pattern Trader Tools, payment must be made at the time of purchase. Payment for Product may be made by credit card or some other prearranged payment method. Your order is subject to cancellation by Pattern Trader Tools, at Pattern Trader Tools's sole discretion. Pattern Trader Tools is not responsible for pricing, typographical, or other errors, in any offer by Pattern Trader Tools and reserves the right to cancel any order resulting from such errors.

5. Shipping Charges; Taxes; Title; Risk of Loss. Shipping and handling are additional unless otherwise expressly indicated at the time of sale. Loss or damage that occurs during shipping by a carrier selected by Pattern Trader Tools is Pattern Trader Tools's responsibility. Loss or damage that occurs during shipping by a carrier selected by you is your responsibility. You must notify Pattern Trader Tools within 7 days of the date of receiving the Product if you believe any part of your purchase is missing, wrong or damaged. You are responsible for sales and other taxes associated with the order. Shipping dates are estimates only.

6. No License. The sale of Product, or parts thereof, by Pattern Trader Tools does not convey any license, by implication, estoppel or otherwise, to use or practice any trademark or patent claims or other intellectual property of Pattern Trader Tools covering the Product, parts or other devices or elements.

7. Service; Support. Pattern Trader Tools has no obligation to provide service or support until Pattern Trader Tools has received full payment for the Product or service/support contract you purchased.

8. Changed or Discontinued Product. Pattern Trader Tools's may update, revise or discontinue its Product at any time without notice to you and this may affect information provided by Pattern Trader Tools. Pattern Trader Tools will ship Product that have the functionality and performance of the Product ordered, but changes between what is shipped and what is described in a specification sheet or catalog are possible.

9. Acceptance. By ordering Product from Pattern Trader Tools, whether by clicking through over the internet, telephone, facsimile or otherwise, you agree to be bound by these Terms and Conditions of Sale.

10. Headings The section headings used herein are for convenience of reference only and do not form a part of these terms and conditions, and no construction or inference shall be derived there from.

11. 60 days Money-back Guarantee. Pattern Trader Tools offers a sixty (60) days money-back guarantee subject to the following conditions:

    i.	The Product must be returned in original condition and packaging.
    ii.	Shipping and handling charges are not refundable.
    iii.	You are responsible for shipping charges back to Pattern Trader Tools.

12. Governing Laws. This Agreement is construed and governed in accordance with the laws and regulations of the Republic of Singapore.

13. Warranty. Pattern Trader Tools warrants that the Product you ordered and paid for in full has no defect in materials and workmanship. If the Product is defective, Pattern Trader Tools will replace the Product at its sole discretion, or grant you a refund, either in part or in full. Pattern Trader Tools makes no warranty for non-Pattern Trader Tools Product. By registering on the website, you acknowledge that the Product is free from defects in materials and workmanship. The warranty period ends on the date of registration or 6 months from the date of purchase, whichever is earlier.

14. Limitation of Liability. Pattern Trader Tools does not accept liability beyond the remedies set forth herein, including but not limited to any liability for Product not being available for use, lost profits, loss of business or the provision of services and support. Except as expressively provided herein, Pattern Trader Tools will not be liable for any consequential, special, indirect, or punitive damages, even if advised of the possibility of such damages, or for any claim by any third party. You agree that for any liability related to the purchase of Product, Pattern Trader Tools is not liable or responsible for any amount of damages above the amount invoiced and paid for in full by you for the Product. Notwithstanding anything in this Agreement to the contrary, the remedies set forth in this Agreement shall apply even if such remedies fail their essential purpose.

15. Binding Arbitration. Any claim, dispute, or controversy (whether in contract, tort, or otherwise, whether pre-existing, present or future, and including statutory, common law, international tort and equitable claim(s) between you and Pattern Trader Tools, its agents, employees, principals, successors, assigns, affiliates (collectively for purposes of this paragraph, "Pattern Trader Tools") arising from or relating to this Agreement, its interpretation, or the breach, termination or validity thereof, the relationships which result from this Agreement (including, to the full extent permitted by applicable law, relationships with third parties who are not signatories to this Agreement), Pattern Trader Tools's advertising, or any related purchase shall be resolved exclusively and finally by binding arbitration administered by the Singapore International Chamber of Commerce. The arbitration will be limited solely to the dispute or controversy between customer and Pattern Trader Tools. Neither you nor Pattern Trader Tools shall be entitled to join or consolidate claims by or against other customers, or arbitrate any claim as a representative or class action or in a private attorney general capacity. Any award of the arbitrator(s) shall be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction. Each party shall pay for its own costs and attorneys' fees, if any. However, if any party prevails on a statutory claim that affords the prevailing party attorneys' fees, or if there is a written agreement providing for fees, the Arbitrator may award reasonable fees to the prevailing party, under the standards for fee shifting provided by law.
